By accessing or using the virtual care services provided by Georgia Primary Clinic dba Primary Clinic (“Provider”), including but not limited to telehealth consultations, prescription management, laboratory orders, and secure messaging through the Charm EHR patient portal, you (“Member” or “Patient”) agree to be bound by the following terms and conditions. Please read these terms carefully before using our services.

1. Virtual Primary Care Services

1.1. Scope of Services

  • Virtual Consultations: The Provider offers virtual consultations for non-emergency medical concerns via our telehealth platform.
  • Prescription Management: Services include the management of up to two (2) monthly formulary prescriptions. Additional formulary prescriptions will incur an extra fee of $10 per month per prescription.
  • Lab Work: The membership includes an annual comprehensive blood panel and additional lab work as medically indicated. Lab orders are provided, and Members are responsible for visiting designated lab facilities.
  • Secure Messaging: Unlimited access to secure messaging with healthcare providers is available through the Charm EHR patient portal.
  • Patient Portal: All communications, appointment scheduling, and access to medical records are facilitated exclusively through the Charm EHR patient portal.

1.2. Patient Requirements

  • Internet Connection: Members are required to have a stable internet connection to access virtual care services.
  • Use of Patient Portal: Every patient must set up and actively use the Charm EHR patient portal. This platform is the exclusive means for secure communication and service coordination.
  • Eligibility: Our services are intended for individuals aged 12 and older. We do not provide care for children under the age of 12.

2. Limitations of Virtual Care

  • Non-Emergency Services: The virtual care services provided are strictly for non-emergency medical issues. In the event of a medical emergency, Members should immediately contact local emergency services.
  • Scope of Diagnosis: While our providers strive to deliver high-quality care, virtual consultations have inherent limitations compared to in-person visits. The Provider may require in-person evaluation or referral to specialists when necessary.
  • Diagnostic Imaging: Services do not include diagnostic imaging (e.g., X-rays, MRIs, CT scans). If such services are required, referrals to third-party imaging centers will be provided, with associated costs borne by the Member.
  • No Guarantee of Results: Although the Provider is committed to high standards of care, no specific outcomes are guaranteed as a result of the virtual care services.

3. Regulatory Compliance and Financial Disclaimer

  • FDA and State Regulatory Directives: The Provider operates under the directives of the U.S. Food and Drug Administration (FDA) and applicable state regulatory bodies regarding what medications may be prescribed and how they are prescribed. All medication management services are provided in full compliance with these guidelines.
  • Not an Insurance Provider: The Provider is not an insurance company and does not substitute for health insurance. Members are encouraged to maintain separate health insurance to cover services beyond primary care, including emergency care, specialist referrals, and hospitalizations.
  • Professional Malpractice Insurance: Georgia Primary Care dba Primary Clinic carries professional malpractice insurance to protect both the Provider and the Members in the delivery of healthcare services.

4. Subscription Agreement

This Terms and Agreement page incorporates the following Subscription Agreement. By enrolling in our Direct Primary Care membership, the Member agrees to the terms set forth below:

4.1. Services Provided

  • Unlimited Virtual Visits: Access to virtual consultations for non-emergency concerns.
  • Prescription Management: Includes management for up to two (2) monthly medications per the clinic’s formulary. Additional formulary medications will incur an additional fee of $10 per month.
  • Annual and As-Needed Lab Work: Routine lab work including an annual comprehensive blood panel and other medically necessary tests.
  • Unlimited Provider Messaging: Secure messaging with healthcare providers through the Charm EHR patient portal.
  • Patient Portal Requirement: Members must maintain access to and use the Charm EHR patient portal for all service-related communications.

4.2. Membership Fee

  • The Member agrees to pay a monthly membership fee automatically charged on a designated day of each month. This fee covers the services outlined in Section 4.1.

4.3. Term and Termination

  • Minimum Term: A minimum membership term of three (3) months is required. Early termination within this period will result in a termination fee equal to the remaining balance of the three-month term.
  • Automatic Renewal: Post the initial three-month period, this Agreement will automatically renew on a month-to-month basis unless terminated by either party with thirty (30) days’ written notice.
  • Provider Termination: The Provider reserves the right to terminate the Agreement with thirty (30) days’ written notice. In such cases, the Member is responsible for the prorated fee for services rendered up to the termination date.

4.4. Consent for Services

  • The Member consents to receiving medical care via virtual communication platforms. The Member acknowledges being informed of the nature, benefits, risks, and alternatives to the services provided.

4.5. Payment, Billing, and Credit Card Authorization

  • A valid credit or debit card must be provided upon enrollment. Monthly membership fees will be automatically charged on the specified day.
  • Credit Card Authorization: the Member authorizes Primary Clinic to charge the provided card for the monthly membership fee and any additional agreed-upon services.
  • Late Payments: In the event of payment failure, the Member will be notified and provided a ten (10) day grace period to update payment information. Failure to do so may lead to a suspension of services.

4.6. Confidentiality and Privacy

  • The Provider will maintain the confidentiality of the Member’s medical and personal information in accordance with HIPAA and applicable privacy laws. Electronic communications via the patient portal carry inherent risks, which the Member acknowledges.

4.7. Governing Law

  • This Agreement shall be governed by the laws of the State of Georgia, without regard to conflicts of law principles.

4.8. Entire Agreement and Amendments

  • This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior understandings or agreements. Amendments must be in writing and signed by both parties.

By enrolling in the Direct Primary Care membership and using our virtual care services, the Member acknowledges having read, understood, and agreed to the terms and conditions stated in both this Terms and Agreement page and the Subscription Agreement.

5. General Provisions

5.1. Consent to Electronic Communications

  • The Member consents to receiving communications electronically, including appointment reminders, health updates, and billing information. While we use secure methods, the Member acknowledges the inherent risks of electronic communication.

5.2. Modifications to Terms and Agreement

  • Georgia Primary Care dba Primary Clinic reserves the right to modify these Terms and Agreement at any time. Updates will be posted on our website, and continued use of our services constitutes acceptance of any modifications.
